Legal Counsel (Commercial Contracts) USA

Govitall is a group of IT companies doing business mostly in the U.S. We are looking for a fast-learning and productive person with fluent English and prior experience with the U.S. jurisdictions to support our U.S. operations on the position of Legal Counsel

In this role, you will work closely with business managers, as well as with the group's finance and compliance functions

Responsibilities

• Drafting and reviewing commercial agreements with customers and vendors, including master service agreements and SoW for software development activities, marketing & advertisement contracts, license agreements, NDAs, trademark, and other IP assignments, asset sale and asset purchase agreements, intercompany agreements, etc. with the primary focus on the U.S. jurisdiction and best practices 

• Keeping the records of the group's agreements, monitoring of expiration dates

• Designing and improving documentation workflow. Developing and improving document templates in accordance with the U.S. best practices and business culture

• Full-range support of commercial transactions, assessing terms and risks, researching regulations, requesting third-party legal advice, etc 

• Backing up our corporate lawyer on IP compliance matters - drafting legal notices, trademark infringement letters, coordinating external advisors

• Performing legal research, monitoring laws, and providing guidance to the business

Requirements

• Master's Degree in Law

• More than 3 years of relevant work experience 

• Legal drafting experience for U.S. companies

• Experience of work with external legal advisors

• Experience of work in IT business

• Commercial mindset

• Solid analytical skills, good knowledge of Microsoft Office, Google Docs/Sheets 

• Responsible and self-organized, accurate, able to cope with the cyclical workload and multi-tasking

• Fluent English, spoken and written
