Purpose of the role

We are looking for a Governance Specialist who will be part of the Legal & Compliance Organization.

Responsibilities  

- Draft, review, support of execution, maintain and catalogue/registry corporate legal and authorization documents, deeds and corporate records.
- Prepare Territory Company's acts, instructions, statements, which regulates mother-subsidiary relations;
- Maintenance of intra-group corporate relations.
- Provide legal support during obtaining\ prolongation of approvals, permits, other authorization documentation related to corporate activities.
-  Conduct preparations before and, defending the Company in law cases.
- Gather legal information and evidences for helping the management to keep governance transparency.
- Examine draft of laws, orders, other documents publications related to corporate and governance matters.
- Provide recommendations to Chief Legal and Compliance Officer and Compliance Officer on amendment of the Manual and other SOP’s, WI’s, SF’s related to corporate governance activities
- Hold corporate and registration matters & represent in the interests of the Company in the Territory state institutions.
- Creation and support of work-scheme of business.
- Control and support corporate legal\agent service outsource.

What will you need to be successful in your job?

Skills & Knowledge

- Master of law

- Relevant, demonstrable at least 3 years experience in a similar role as well as knowledge and experience in global, multi-site, multi-cultural organization in corporate governance

-  Practical experience in clinical service and\or pharmaceutical governance will be an asset

- Fluent in English
