M&A Legal Associate

For our client, a large national holding company, we are looking for an experienced M&ALegal Associate to join its Legal Department.

Our client is seeking a motivated young legal professional majoring in M&A with 4+ years of experience with a reputable law firm. Please note that English law experience is mandatory for this position.

Key responsibilities

• M&A and capital raising advisory services
• Legal support of mergers, acquisitions, minority investments, joint ventures, divestitures, integration, and other strategic initiatives
• Advising on the acquisitions terms and structuring, including international transactions
• Organizing, reviewing and analyzing due diligence processes and materials
• Developing valuation analyses and models (projections, LBO, DCF, public comparables, historical M&A transactions, etc.)
• Drafting SPA and shareholder agreements
• Working with business teams to explore targets, negotiate and execute deals
• Preparing comprehensive pitchbooks, information memoranda, management presentations and marketing materials
• Compiling prospective acquirer lists and contacting acquirers

Qualifications

• Minimum 4 years in M&A legal advisory, covering mergers and acquisitions, strategic investment and/or private equity with a law firm or investment bank and/or as an in-house legal advisor
• Outstanding academic credentials from a top-tier law school
• Experience in common law and equity law
• Experience with international transactions will be an asset
• Excellent written and oral communications skills
• Significant level of both professional and personal maturity
• Practical and proactive problem-solver; confident, mature, calm under fire, with a positive attitude
• Ability to manage multiple projects, and a high-level of professionalism.
• Strong work ethic for a fast-paced environment
