Legal Counsel

We are looking for Legal Counsel to join our team in Kharkiv!

This role will report to the Chief Accountant and will work with all Ukrainian office staff. The Legal Counsel’s primary responsibility is to contribute to GeoComply’s success by advising on legal solutions to address a wide range of commercial matters related to the company's business. This role’s overall focus is providing amazing service to internal customers and supporting the company's day-to-day operations from a legal perspective. This role is an important member of the multi-country team whose mandate is to ensure 100% compliance with local legislation and corporate policies.

Key responsibilities and accountabilities include (but not limited to):

• Supporting the legal function in Ukraine and providing continuous legal support to local teams;
• Regulatory compliance and corporate governance in Ukraine;
• Managing the contract process; drafting/reviewing/ negotiating the contracts and other legal documents: vendor/procurement contracts, lease contracts, NDAs, PoAs, legal correspondence, corporate documents, etc.;
• Researching and advising on legal issues, processing legal requests from the teams on commercial, tax, employment law, etc.;
• Monitoring regulatory updates, advising and drafting advice for leadership and other teams;
• Negotiating and drafting complex agreements and other legal documentation on commercial, consumer, privacy, IP and IT law matters;
• Identifying various legal issues and assessing their impact on business;
• Collaborating with legal teams outside Ukraine;
• Disputes resolution and litigation management in Ukraine;
• Regular monitoring of changes in the current legislation (including risks description and suggestions providing for their mitigation);
• Managing relationships with the company vendors, external legal counsels, notaries, local and government authorities; representing the company in communications, negotiations and at the meetings;
• Driving the change and being proactive with other assigned tasks

Skills and qualifications:

• Law degree;
• Excellent legal research / analysis / review / drafting skills;
• Solid skills in contracts, commercial, IP and IT, international law;
• Strong communication skills;
• English at intermediate/B1 level;
• Experienced user: Microsoft Office, Liga;
• Tax/litigation expertise is a plus;
• 5+ years of legal experience with a law firm or in-house.
• Ability to work in a fast-paced environment and capacity to take on multiple tasks at one time
• Flexible, adaptable, and easy-going
