Lawyer for IT product Company

Requirements:

• Law degree from reputable university, international LL.M degree is a plus;
• Minimum 3-year qualification experience as contract lawyer;
• Experience in IT sphere or in an international law/ consulting company is a must;
• Solid experience in work with non-resident companies' registration/ maintenance, analysis of legislation of various jurisdictions, negotiating with non-residents / foreign lawyers, opening accounts for legal entities and individuals in foreign banks, PSP;
• Excellent knowledge of international corporate, contract, AML/KYC, e-commerce, data protection and compliance regulations;
• Knowledge of intellectual property legislation and experience in registering trademarks/ patents;
• Deep knowledge in drafting, reviewing and negotiating of IT-related agreements (Merchant Services, Software Development, License, Marketing, Advertising and Services Agreementsс etc);
• Knowledge of basics of English law;
• Experience with Ukrainian corporate law;
• English language knowledge (min Upper-Intermediate);
• Excellent legal writing and research skills;
• Good knowledge of legal terms and general business procedures and practices;
• Confident PC user.

Responsibilities:

• Drafting, reviewing and negotiating agreements (marketing agreements, insertion orders, IT-related contracts also with high-complexity (Merchant Services, Software Development, License) Services Agreements, Lease agreements) and related documents;
• Analyzing contractual terms to ensure compliance with legislation, government regulations, revenue recognition and other requirements;
• Resolving corporate and tax issues;
• Monitoring and analyzing legislative developments in company's areas and jurisdictions of company's operation;
• Provide legal opinions and analytics on different issues of international, Russian and Ukrainian legislation;
• Maintain contractual information in contract database;
• Advising on commercial contracts & licensing regulations;
• Drafting terms&conditions, privacy policies, terms of service and other relevant website documentation for company's website;
• Legal analysis on IP objects of the company on the possibility to provide them a legal protection;
• Legislation analysis of the issues and consultations in IP sphere, other questions connected with company IP;
• Drafting data protection documentation, including internal polices and compliance regulations, data processing and data transfer agreements (knowledge of the GDPR requirements is highly desirable);
• Trademark registration and related issues;
• Drafting and reviewing of various documents necessary for the companies' day-to-day operations, inter alia, applications, letters, powers of attorney, resolutions etc.;
• Preparing the package of company's documents to pass due diligence and KYC/ compliance procedures including their notarization, apostilization and filling out the relevant questionnaires (for banks, PSP, business partners);
• Registration of LLCs in Ukraine and making changes into the information on such LLCs in the Unified State Register of legal entities of Ukraine;
• Other day-to-day legal issues on company's business matters.
